Legal AI vendors are selling you technology with contracts designed to protect the vendor, not you. Most law firms sign these agreements after a compelling demo without reading the fine print. That fine print can expose you to data breaches, loss of client confidentiality, and liability that your malpractice insurance won't cover.

Here are 10 red flags in legal AI vendor contracts that every managing partner needs to catch before signing. Miss even one and you're accepting risk that no law firm should accept.


Red Flags 1-3: Data and Training Rights

Red Flag #1: "We may use your data to improve our services." This is the biggest red flag in legal AI contracts. If the vendor can use your inputs — including client confidential information — to train or improve their AI models, your client data is being used to benefit the vendor's other customers. This may constitute a breach of your duty of confidentiality under Rule 1.6. The fix: The contract must explicitly state that your data is never used for model training, fine-tuning, or service improvement. No exceptions. No opt-out process — it should be prohibited by default.

The fix: Negotiate a fixed-price term (2-3 years), require 90-day advance notice before auto-renewal, and cap annual price increases at CPI or 3% — whichever is lower. Include data portability provisions that require the vendor to export your data in standard formats at contract termination.
